MONSTER POWERCELLS REDEMPTION PROGRAM TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS ("AGREEMENT") CAREFULLY. BY PARTICIPATING IN THE MONSTER POWERCELLS REDEMPTION PROGRAM ("PROGRAM") (E.G., BY SUBMITTING ANY FORMS OR RELATE MATERIALS TO MONSTER POWER, LLC.) ("MONSTER "), YOU ACCEPT ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE WITH ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, PLEASE DO NOT PARTICIPATE IN THE PROGRAM.

1. This Program is void in every local, or other jurisdiction in which prohibited, regulated, or restricted by any law, statute, regulation, or other appropriate authority. Monster, its officers, employees, contractors, and agents do not warrant that this Program may be participated in legally in any particular jurisdiction. The Program is open to legal residents of the United States eighteen (18) years of age or older, except employees of Monster, its affiliates, distributors, representative firms, resellers, dealers, and the immediate families or household members of each. Proof of eligibility and compliance with these rules may be required. Monster reserves the right to terminate this Program, or to modify this Agreement as necessary for any reason or as required by applicable law.

2. The cardboard header card (excluding plastic) ("Header Card") from Monster PowerCells Alkaline products are redeemable for credit towards select Monster products. The credit received for a Header Card will be determined by the suggested retail price (not actual purchase price) for the product. Header Card values are available on Monster's website. The Header Cards and credits have no cash value, and cannot be redeemed for cash. This Program may not be combined with any other offer.

3. Header Cards not from Monster PowerCells Alkaline product packages shall be void and shall not earn credit towards Monster products under the Program. Header Cards from Rechargeable Monster PowerCells are not eligible. No facsimiles, copied, reproduced, torn, damaged, or contaminated Header Cards will be accepted. Monster or its designees will make such determinations in its sole discretion. All materials submitted to Monster become the property of Monster and will not be returned. Monster is not responsible for lost, late, stolen, damaged or misdirected mail, submissions, deliveries or correspondence.

4. Header Cards must be sent to Monster for redemption according to the instructions on Monster's website and pursuant to this Agreement. Proof of mailing shall not be proof that Monster received such mailing. At least $50.00 U.S. worth of credit must be redeemed in a single order. Multiple orders may be submitted. Monster has the right to discontinue the Program at any time with no notice.

5. Credits may be used only to order Monster product items listed in the online product catalog at the designated quantities and values specified. The number of credits required to order products included in the catalog is subject to change at Monster's sole discretion. Monster is not responsible for product description or printing errors in the catalog. Monster has the right to substitute the products available in the catalog at any time with no notice. All orders are subject to availability of products. Monster reserves the right to substitute products of the same or greater value for products that are discontinued or become unavailable during the course of the Program. Header Cards submitted in excess of the values specified for a product will not be returned or credited.

6. Monster will not accept any special orders, substitutions, cash payments or requests to break up sets. Products are not transferable and no substitutions will be permitted, except by Monster due to unavailability of products.

7. RELEASE. By participating in the Program (e.g., by submitting Header Cards and/or Program forms to Monster), you (the "Releasor") hereby releases Monster, its officers, employees, subsidiaries, affiliates, agents and representatives (and their officers, directors, employees and agents) (collectively, the "Released Parties") from any and all actions, causes of action, suits, out-of-pocket expenses, claims, losses, demands and damages whatsoever, in law or equity, which the Releasor may have, now or in the future, against the Released Parties, as a result of or arising out of the Releasor's participation in the Prang Power Program or the Releasor's acceptance or use of any products hereunder.

8. Payment of taxes, if any, on the products ordered is your responsibility. You are responsible for all expenses ancillary to and associated with products ordered, including shipping and handling costs. Shipping and handling information and costs are available on the Program website. Credits may not be used for shipping and handling costs, or taxes.

9. Please allow approximately 4 to 6 weeks from order date for delivery of your products. Products can only be ordered by and will only be shipped to the person whose name is listed on the merchandise order form.

10. Any concerns or complaints must be made in writing and sent to the address in Paragraph 11. Claims for non-receipt of merchandise must be made in writing within ninety (90) days of the date of the order in question to the address in Paragraph 11.
